The technologies delivered via the pages of the cisco.loopone.com web site (the "Site") are provided by Cisco Systems, Inc.'s ("CISCO") technology provider, Loop One, Inc. ("NEOPOST Loop One"), under the following terms and conditions. In consideration of accessing and/or using the Site, you indicate your acceptance of these terms and conditions on behalf of yourself, your company, and all of the employees, agents and representatives of yourself and your company.

THIS SITE AND ALL CONTENT, INFORMATION, AND TECHNOLOGIES DELIVERED HEREUNDER (COLLECTIVELY, THE "TECHNOLOGIES") IS PROVIDED "AS IS". CISCO AND NEOPOST LOOP ONE EXCLUDE AND DISCLAIM, TO THE EXTENT PERMISSABLE BY LAW, ANY AND ALL WARRANTIES, EXPRESS AND IMPLIED, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

USE OF THE TECHNOLOGIES IS AT THE USER'S SOLE RISK. NEITHER NEOPOST LOOP ONE NOR CISCO WILL IN ANY EVENT BE LIABLE TO ANY PERSON OR ENTITY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, INCIDENTAL OR OTHER DAMAGES, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE TECHNOLOGIES, ANY DOCUMENTS PROVIDED THEREUNDER, THE PROVISION OF OR FAILURE TO PROVIDE SERVICES, OR INFORMATION AVAILABLE FROM THE TECHNOLOGIES, WHETHER OR NOT THE POSSIBILITY OF SUCH LOSSES OR DAMAGES HAS BEEN DISCLOSED IN ADVANCE OR COULD HAVE BEEN REASONABLY FORESEEN BY CISCO OR NEOPOST LOOP ONE, INCLUDING WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, BUSINESS, DATA, GOODWILL, COMPUTER FAILURE OR MALFUNCTION, DAMAGE TO ANY COMPUTER SYSTEMS, INTERRUPTION IN SERVICE, OR INCOMPATABILITY IN TECHNOLOGY.

ANY LIABILITY ON THE PART OF CISCO OR NEOPOST LOOP ONE ARISING FROM BREACH OF WARRANTY, BREACH OF CONTRACT, NEGLIGENCE, STRICT LIABILITY IN TORT, OR ANY OTHER LEGAL THEORY SHALL NOT EXCEED ANY AMOUNTS PAID BY YOU TO CISCO IN FEES FOR YOUR SPECIFIC USE OF THE TECHNOLOGIES. THIS LIMITATION OF LIABILITY IS CUMULATIVE, WITH ALL PAYMENTS FOR CLAIMS OR DAMAGES BEING AGGREGATED TO DETERMINE SATISFACTION OF THE LIMIT.

You shall indemnify and hold CISCO and NEOPOST Loop One, and their affiliates, principals and agents harmless from all demands, claims, proceedings and judgments, including reasonable attorneys' fees and other expenses, asserted against or incurred by CISCO and NEOPOST Loop One relating to your (a) use of the Technologies, (b) breach of any of the terms and conditions stated herein, or (c) infringement of any rights of a third party.

Access to and use of the Technologies are subject to all applicable international, federal, state and local laws, rules and regulations, including but not limited to any laws, rules, and regulations relating to the export, re-export or transhipment of software. You agree not to use the Technologies in any way that violates such laws, rules, or regulations.

The information available on or through the Technologies is the property of CISCO and/or NEOPOST Loop One, or their licensors, and is protected by copyright, trademark, and other intellectual property laws. You agree to access the Technologies solely for your internal use in connection with shipments initiated via the Technologies. Otherwise, you shall not, nor shall you request, authorize or allow any end user or third party, to (i) modify, copy, display, publish, sell, rent, lease, license, distribute, transmit, tamper with, create derivative works from, or otherwise commercially exploit Loop One's Technologies in any way, or (ii) disassemble, decompile, reverse engineer, or reproduce any portion of the Technologies (including but not limited to any software, copyrighted or trademarked material, trade secrets, or other proprietary information made available or downloaded via the Technologies). You further agree to (i) use your best efforts to protect Loop One's Technologies from unauthorized use, illegal reproduction or illicit distribution, and (ii) not, without prior written consent, use the trademarks, logos and service marks ("Marks") used on the Site for any purpose.

You are responsible for maintaining the security of any password, user ID, or other form of authentication involved in obtaining access to the Technologies. In order to protect you and your data, CISCO and/or NEOPOST Loop One may suspend or limit your use of the Technologies, without notice, pending an investigation, if any breach of security is suspected.

RESTRICTED RIGHTS LEGEND. Any software downloaded via the Technologies for or on behalf of the United States of America, its agencies and/or instrumentalities ("U.S. Government"), is provided with Restricted Rights. Use, duplication, or disclosure by the U.S. Government is subject to restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software clause at DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer Software - Restricted Rights at 48 CFR 52.227-19, as applicable.
